Terms of Service
The terms and conditions governing your use of the Ordalis platform, API, and related services. Please read these terms carefully before using our Service.

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Ordalis, Inc. ("Ordalis," "we," "us," or "our") governing your access to and use of the ordalis.io website, the Ordalis API, and all related services (collectively, the "Service").
By creating an account, accessing the Service, or using the API, you agree to be bound by these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
If you do not agree to these Terms, you must not use the Service.
2. Service Description
Ordalis is an AI-powered document data extraction platform that converts unstructured documents (PDFs, images, and other file formats) into structured data (JSON, CSV, XLSX). The Service provides:
- Web interface — a browser-based tool for uploading and converting documents
- REST API — programmatic access for automated document processing and integration
- Batch processing — the ability to process multiple documents simultaneously
- Custom schemas — user-defined templates for targeted data extraction
- Webhooks — real-time notifications for asynchronous processing events
3. Account Registration and Responsibilities
3.1 Account Creation
To use certain features of the Service, you must create an account by providing a valid email address and password. You may also generate API keys for programmatic access.
3.2 Account Security
You are responsible for:
- Maintaining the confidentiality of your account credentials and API keys
- All activity that occurs under your account, whether authorized by you or not
- Immediately notifying us at [email protected] if you suspect unauthorized access to your account
- Not sharing your account credentials or API keys with unauthorized third parties
3.3 Accurate Information
You agree to provide accurate, current, and complete information when creating your account and to update this information as necessary to keep it accurate.
4. Acceptable Use
You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:
4.1 Prohibited Content
- Upload, transmit, or process documents containing illegal content, including child sexual abuse material, content that facilitates terrorism, or material that violates applicable laws
- Use the Service to process documents you do not have the right to access or distribute
- Upload documents containing malware, viruses, or other harmful code
4.2 Prohibited Activities
- Attempt to reverse engineer, decompile, disassemble, or otherwise derive the source code of the Service or its AI models
- Circumvent, disable, or interfere with security features, rate limits, or usage restrictions of the Service
- Use automated tools (bots, scrapers) to access the Service in a manner that exceeds reasonable usage or degrades service for other users
- Resell, redistribute, or sublicense access to the Service or API without prior written consent
- Use the Service to develop a competing product or service
- Impersonate another user, person, or entity
- Interfere with or disrupt the integrity or performance of the Service
4.3 Rate Limits and Fair Use
Usage of the Service is subject to plan-based rate limits. Exceeding these limits may result in temporary throttling (HTTP 429 responses). Persistent or intentional abuse of rate limits may result in account suspension.
5. Data Ownership and Intellectual Property
5.1 Your Data
You retain full ownership of all documents you upload and all data extracted from those documents. Ordalis does not claim any intellectual property rights over your content.
5.2 License to Process
By uploading documents to the Service, you grant Ordalis a limited, non-exclusive, temporary license to process your documents solely for the purpose of providing the conversion service. This license terminates when your files are deleted from our systems.
5.3 Ordalis Intellectual Property
The Service, including its software, AI models, algorithms, user interface, documentation, and branding, is the intellectual property of Ordalis and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any rights to use Ordalis trademarks, logos, or brand assets.
5.4 Feedback
If you provide feedback, suggestions, or ideas about the Service, you grant Ordalis a non-exclusive, worldwide, royalty-free, perpetual license to use, modify, and incorporate such feedback into the Service without obligation to you.
6. AI Processing Disclaimer
Important: Ordalis uses artificial intelligence to extract and structure data from documents. While we strive for high accuracy, AI-powered extraction is not guaranteed to be 100% accurate. You are responsible for reviewing and verifying extracted data before relying on it for business decisions, financial reporting, legal compliance, or other critical purposes.
Specifically:
- AI extraction results are provided on an "as-is" basis without warranty of accuracy or completeness
- Complex document layouts, poor scan quality, handwritten text, or unusual formatting may reduce extraction accuracy
- Ordalis does not guarantee that extracted data will be identical to the source document content
- Users should implement their own validation and quality assurance processes for critical data
- Ordalis is not responsible for decisions made based on AI-extracted data
7. Billing and Payments
7.1 Plans and Pricing
The Service is offered under multiple subscription tiers:

7.2 Billing Cycle
Paid subscriptions are billed monthly in advance. Your billing cycle begins on the date you subscribe to a paid plan. Payments are processed through Stripe.
7.3 Upgrades and Downgrades
You may upgrade your plan at any time; the new plan takes effect immediately and you will be charged a prorated amount for the remainder of your billing cycle. Downgrades take effect at the start of the next billing cycle.
7.4 Refunds
All paid plans come with a 30-day money-back guarantee from the date of initial purchase. After the 30-day period, subscription fees are non-refundable. Unused conversions do not roll over to subsequent billing periods.
7.5 Failed Payments
If a payment fails, we will attempt to charge your payment method up to three times over a 7-day period. If all attempts fail, your account will be downgraded to the Free tier. You will not lose your data, but access to paid features will be restricted.
8. Service Availability
8.1 Best-Effort Availability
We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service is provided on a "best effort" basis unless otherwise specified in a separate Service Level Agreement (SLA).
8.2 Planned Maintenance
We may perform scheduled maintenance that temporarily affects Service availability. Where practicable, we will provide advance notice of planned maintenance.
8.3 Enterprise SLA
Enterprise customers may negotiate a separate Service Level Agreement that includes uptime guarantees, response time commitments, and remedies for service disruptions. Contact us for details.
9. Limitation of Liability
9.1 Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. ORDALIS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
9.2 Limitation of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ORDALIS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE.
9.3 Cap on Liability
ORDALIS'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO ORDALIS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
9.4 Exceptions
Nothing in these Terms limits or excludes liability for fraud, death or personal injury caused by negligence, or any other liability that cannot be limited or excluded by applicable law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Ordalis, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights, including intellectual property rights
- Any content you upload, transmit, or process through the Service
11. Account Termination
11.1 Termination by You
You may terminate your account at any time by contacting us at [email protected] or through your account settings. Upon termination, your account will be deactivated and your data will be deleted in accordance with our Privacy Policy.
11.2 Termination by Ordalis
We may suspend or terminate your account immediately, without prior notice, if:
- You violate these Terms or our Acceptable Use policy
- Your account is used for illegal activity
- Your use of the Service poses a security risk or adversely impacts other users
- Required to do so by law or legal process
In the event of termination for cause, you will not be entitled to a refund of any prepaid fees.
11.3 Effect of Termination
Upon termination, your right to use the Service ceases immediately. We will retain your data for 30 days after termination to allow for data export, after which it will be permanently deleted. Sections of these Terms that by their nature should survive termination (including Sections 5, 6, 9, 10, and 12) shall survive.
12. Dispute Resolution
12.1 Informal Resolution
Before initiating any formal dispute resolution, you agree to first contact us at [email protected] to attempt to resolve the dispute informally. We will make good-faith efforts to resolve any dispute within 30 days of receipt of your notice.
12.2 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
12.3 Arbitration
Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in the English language. The arbitrator's decision shall be final and binding.
12.4 Class Action Waiver
You agree to resolve any disputes on an individual basis and waive any right to bring or participate in a class action, collective action, or representative proceeding.
12.5 Exceptions
Notwithstanding the above, either party may seek injunctive relief in any court of competent jurisdiction to protect its intellectual property rights.
13. General Provisions
13.1 Entire Agreement
These Terms, together with our Privacy Policy and any applicable Enterprise agreement, constitute the entire agreement between you and Ordalis regarding the Service.
13.2 Severability
If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
13.3 Waiver
The failure of Ordalis to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
13.4 Assignment
You may not assign or transfer your rights under these Terms without our prior written consent. Ordalis may assign these Terms in connection with a merger, acquisition, or sale of all or substantially all of its assets.
13.5 Modifications
We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the effective date. For significant changes, we will send a notification to the email address associated with your account at least 30 days before the changes take effect. Continued use of the Service after changes become effective constitutes acceptance of the modified Terms.
